Rewards scheme terms and conditions

1 INTERPRETATION

1.1 Definitions:

Customer: the person or firm detailed on the applicable Statement of Work;

New Statement of Work: has the meaning set out in clause 3.1;

Referral: new Customer referred by Referrer;

Referrer: existing Customer of Appointedd;

Scheme: has the meaning set out in clause 2.1;

Services: the services supplied by the Supplier to the Customer as set out in the Statement of Work;

Statement of Work: an agreement which sets out full details of the Services to be provided by the Supplier as may be agreed between the parties from time to time;

Supplier: SALOCA LTD incorporated and registered in Scotland with company number SC392223, whose registered office is at Suite 2, Ground Floor Orchard Brae House, 30 Queensferry Road, Edinburgh, United Kingdom, EH4 2HS (trading as ‘Appointedd’).

2 BASIS OF CONTRACT

2.1 These Terms and Conditions set out the contractual relationship between the Supplier and the Referrer in respect of the Appointedd Referral Reward Scheme (Scheme).

2.2 These Terms and Conditions are supplementary to the existing Master Service Agreement between the Supplier and the Referrer.

2.3 These Terms and Conditions may be updated from time to time in order to incorporate new features to the Scheme, to comply with changes in the law or for other commercial reasons. If any changes to this Scheme are introduced, the Referrer and the Referral will be notified in writing, at least 30 days before the changes to these Terms and Conditions take effect. Any changes to these Terms and Conditions shall affect future Referrals only and shall not apply to any existing Statements of Work currently running under this Scheme.

3 ELIGIBILITY CRITERIA

3.1 The Statement of Work between Appointedd and the Referral is new and not an extension of an existing Statement of Work (New Statement of Work).

3.2 The New Statement of Work is for the duration of twelve months or more.

3.3 The New Statement of Work has no financial implications on any existing Statements of Work associated with the Referrer.

3.4 The New Statement of Work satisfies one of the criteria below:

a) It covers a new region within the Referrer’s business;

b) The Referral is a new business, not currently in association with the Referrer;

c) The Referral is a new subsidiary within the holding organisation of the Referrer.

3.5 The Referrer may make unlimited amount of referrals, provided that all of the eligibility criteria under this clause are satisfied on each occasion.

3.6 It is the Referrer’s responsibility to communicate the criteria to the Referral and ensure the criteria are met.

3.7 The Reward Scheme is only applicable for introductions made and deals closed from 2nd August 2022 onwards.

3.8 Any clients who are already contracted under a commission structure through a partnership are excluded from eligibility for the referral scheme.

4 REWARD

4.1 The Referrer receives a reward in a form of credit note or cash.

4.2 The Referral receives a one-off discount.

5 PAYMENT

5.1 The Referrer shall only be eligible to be rewarded when the New Statement of Work is signed and payment (or first payment in the case of instalments) is made by the Referral.

5.2 The Referrer agrees that cash can be withdraw or credit note be used only within the period of the New Statement of Work.

5.3 Unless the Supplier and the Referrer agree otherwise, the credit note shall be applied to the next invoice issued by the Supplier to the Referrer.

5.4 The value of the reward can be withdrawn as cash value by the Referrer. The Referrer must notify the Supplier of their preference to receive cash. The cash value will be calculated at 20% less than the value of the credit note.

5.5 The Referrer is required to send the Supplier an invoice for the correct cash amount. Once an invoice is received by the Supplier, it will be processed.

5.6 The Referral’s one-off discount shall be applied to the New Statement of Work invoice or, in the case of instalments, to the first instalment.

5.7 The Referrer agrees that if the Master Service Agreement between the Referrer and the Supplier is terminated, prior to the reward being claimed, the Referrer forfeits the right to the reward.
